These Terms and Conditions govern all services provided by Ademsi Global Logistics LLC (“Ademsi,” “we,” “our,” or “us”). By creating an account, booking a shipment, or delivering goods to us, you agree to be legally bound by these Terms on behalf of yourself and any entity you represent.

These Terms may be updated at any time without prior notice. Continued use of our services constitutes acceptance of any revised Terms.

1. Scope of Services

Ademsi provides international freight forwarding services including air freight, ocean freight, packaging, consolidation, customs coordination, and delivery support between the United States and Nigeria. Ademsi acts strictly as a freight forwarder and not as a carrier. Transportation is performed by third-party airlines, shipping lines, and agents.

2. Shipment Acceptance & Inspection
  • Shipments may be delivered to our facility or scheduled for pickup.
  • We reserve the right to open, inspect, and verify all shipments for safety and compliance.
  • We may refuse any shipment that violates regulations or company policies.
  • Customers must not ship prohibited items including weapons, illegal goods, hazardous materials, or restricted commodities.
  • False declarations may result in seizure, fines, delays, or service cancellation.
3. Packaging & Handling
  • Customers are responsible for proper packaging unless Ademsi provides packaging services.
  • Additional fees may apply for repacking, crating, or special handling.
  • Ademsi is not liable for damage caused by insufficient or improper packaging.
4. Rates, Charges & Payment
  • Shipping charges are based on actual or volumetric weight, whichever is higher.
  • Final weight and cost are determined by Ademsi after processing.
  • All payments must be made in full before shipment unless approved otherwise.
  • Additional charges may apply for customs duties, storage, demurrage, or handling.
  • We retain a lien on all goods until full payment is received.
5. Delivery & Transit Time
  • All delivery timelines are estimates and not guaranteed.
  • Delays may occur due to customs, airline schedules, inspections, or external factors.
  • Tracking updates are provided but may not always reflect real-time status.
6. Customs & Regulatory Compliance
  • Customers are responsible for complying with all U.S. export and Nigerian import laws.
  • This includes compliance with OFAC, EAR, and other applicable regulations.
  • All duties, taxes, penalties, and clearance fees are the responsibility of the customer or consignee.
  • Failure to comply may result in delays, fines, or confiscation.
7. Storage & Unclaimed Shipments
  • Free storage: 7 days for goods and vehicles.
  • After free period: $25/day (goods), $60/day (vehicles).
  • Unclaimed shipments after 30 days may be disposed of, sold, or returned at customer expense.
8. Liability & Insurance
  • Ademsi is not liable for delays, losses, or damages caused by third-party carriers, customs, or events beyond our control.
  • Optional insurance is available upon request.
  • Without insurance, liability is limited to $50 per shipment.
  • Claims require proof of value, shipment, and supporting documentation.
9. Force Majeure

Ademsi is not responsible for delays or failure to perform due to events beyond our control, including but not limited to weather conditions, airline disruptions, port congestion, customs inspections, labor disputes, or government actions.

10. Claims & Disputes
  • All claims must be submitted within 7 days of delivery.
  • Any legal action must be initiated within 30 days of delivery.
  • Failure to meet these timelines will result in claim denial.
11. Customer Responsibilities
  • Provide accurate shipment and recipient information.
  • Ensure compliance with all shipping laws and regulations.
  • Pay all applicable fees and charges.
  • Do not ship prohibited or fraudulent items.
12. Indemnification

The customer agrees to indemnify and hold Ademsi harmless from any claims, damages, fines, penalties, or legal costs arising from shipments, including incorrect declarations, prohibited items, or regulatory violations.

13. Electronic Communication

By using our services, you consent to receive communication via email, SMS, or WhatsApp regarding shipment updates, billing, and notifications.

14. Fraud & Service Refusal

Ademsi reserves the right to refuse service, suspend accounts, hold shipments, or report to authorities if fraudulent or suspicious activity is detected.

15. Governing Law

These Terms are governed by the laws of the State of California, United States. All disputes shall be resolved under U.S. jurisdiction.

16. Amendments

Ademsi reserves the right to update these Terms at any time. Customers are responsible for reviewing Terms before each shipment.
